General provisions.
This agreement (hereinafter - the Agreement) describes the rules and conditions under which the bitlive multi-exchange services are provided, and is a formal written public offer addressed to individuals (hereinafter - the User) to conclude the Agreement for the bitlive services under the conditions set forth below. Before using bitlive services, the User must fully read the terms and conditions of the bitlive Services Agreement. The bitlive services can only be used if the User accepts all the terms and conditions of the Agreement. The current version of the Agreement is publicly available on bitlive's website (www.bitlive.pro). 2.
Terms and definitions used in the Agreement
Bitlive Service is a trademark and a commercial name of a system providing online e-currency exchange services.
Service Website - www.bitlive.pro.
User - any physical person who wishes to use bitlive services and has accepted the Agreement in accordance with its terms and conditions.
Payment system - a software product created by a third party, which is a mechanism for accounting monetary and/or other obligations, paying for goods and services on the Internet and organizing mutual settlements between its users.
E-currency - a digitally expressed monetary and/or other obligation between the developer of this currency and its user.
Payment/transaction is a transfer of electronic and/or other currency from the payer to the recipient.
The client of payment system - the person who has concluded the contract with corresponding payment system on acquisition for it the property rights of the claim measured in the conventional units accepted in corresponding payment system.
Application - the expression of the User's intention to use one of the services offered by the Service bitlive by filling the electronic form through the Service website, under the conditions described in the Agreement and specified in the parameters of this Application.
Source currency - electronic currency that the User wishes to sell or exchange.
Source Account - the number of the Wallet or any other indication of the User's account in the Payment System from which the Source Currency was sent.
Received Currency - the electronic currency that the User receives as a result of the sale or exchange of the Source Currency.
Resulting Account - the number of the Wallet or any other designation of the User's account in the Payment System, to which the Resulting Currency will be sent.
Currency Reserve - the amount of a certain Electronic Currency available in the bitlive Service at the time of creating the Order.
Currency Exchange - exchange of the Electronic Currency of one payment system for the Electronic Currency of the other payment system.
Exchange rate - the ratio of the value of two electronic currencies when exchanging them.
Hacker - a qualified computer intruder, a malefactor specializing in finding and using unauthorized access to computer networks or other computerized equipment in order to illegally obtain information, profit and damage.
3. Subject of the Agreement
3.1 The subject of this Agreement is providing the User bitlive service for the exchange of electronic currencies.
4. Order of the Service provision
4.1 The bitlive services are ordered by the User by sending an Order through the Service Site.
4.2 The User can control the transaction or receive the information about the course of it using the corresponding user interface on the Service website.
4.3 The bitlive Service executes Orders on an irrevocable basis according to the terms and conditions of the corresponding payment systems.
4.5 The bitlive service is not a party of the agreement between the Payment system and the Client of the payment system and is in no way responsible for the actions of the Payment system and its Client. The rights and obligations of the Payment system and its Customer are regulated by the terms of service of the respective Payment systems.
4.6 The bitlive service does not require a confirmation that the sender and the recipient of the funds involved in the Transaction are the same person; the bitlive service is not a party in the relationship between the sender and the recipient of funds or electronic currency.
4.7 The bitlive service does not verify the legitimacy and legality of the User's ownership of electronic currencies and/or funds involved in a specific Transaction.
4.8 By using the bitlive Service, the User confirms that they legally own and control the funds and electronic currency involved in the corresponding Payment.
4.9 The User agrees to calculate and pay all taxes by himself/herself in accordance with tax laws at the User's location.
4.10. Taking care of the quality of the services provided to Users, bitlive Service undertakes to perform all actions under this Agreement as soon as possible.
5. The price of the services
5.1 The prices for the services are set by the Service administration and are published at the Service website.
5.2 The Service reserves the right to change the exchange rates and fees unilaterally at any time without notice to the User by posting the information about the changes at the Service website.
5.3 The Exchange rate, the amount of the commission charged by the corresponding Payment System for the transaction, the amount of commission for the bitlive Service as well as the total amount of transferred funds and Electronic Currency are stated in the User's Request which is created at the Service website.
5.4 The bitlive Service charges the value of its commission at the time of the relevant Transaction. The Service's fee is deducted from the amount of the Resulting Currency.
6. Exchange of Electronic Currency
6.1 By submitting an Application, the User authorizes and Bitlive Service undertakes to exchange one Payment System e-currency (Reference Currency) for another Payment System e-currency (Resulting Currency) chosen by the User on behalf and at their expense.
6.2 The User undertakes to transfer the Source Currency in the amount specified in the Application, and after receiving the particular Electronic Currency the Service undertakes to transfer the Resulting Currency to the User, calculated in accordance with the Service's tariffs.
6.3 The cost of the Service bitlive is specified in the Application and confirmed by the User by clicking "Next" on one of the pages of the user interface when filling out the Application.
6.4 The bitlive Service's obligation to transfer the Electronic Currency to the User is considered fulfilled when the Electronic Currency is debited from the bitlive Service's account in the corresponding Payment System, which is recorded in the transaction history of the corresponding Payment System.
6.5 The bitlive Service has the right to cancel a User's Order if the funds in the amount of the Initial Currency have not been credited to the Service's account within 20 minutes.
6.6 The bitlive Service has the right to suspend a transaction and withhold funds from the User to prevent fraudulent or other actions that can cause financial or reputational losses for the Service or the User.
6.7 The bitlive Service has the right to set financial and quantitative limits for Transactions. Information about the limits is available on the Service website.
7. Execution of the Agreement
7.1 This Agreement is considered to be concluded under the terms of the public offer accepted by the User when filling out the Application.
7.2 The public offer is the information about the parameters and conditions of the Order, displayed by the Service bitlive.
7.3 Acceptance of the public offer is when the User performs actions to fill out the Application, confirming their intention to use the services bitlive under the conditions described in this Agreement and specified in the Application.
7.4 The date and time of acceptance, as well as the parameters of the conditions of the Application are fixed by bitlive Service automatically at the moment of filling out the Application.
7.5 The Agreement comes into force after the completion of the Application. The User has the right to refuse to perform a transaction on the Application prior to paying for the Transaction.
8. Obligations of the Parties
8.1 The bitlive service is responsible to the User in the amount not exceeding the amount of funds or Electronic Currency entrusted by the User.
8.2 The bitlive service is not responsible for any malfunction, errors or failures in the operation of the software and/or hardware which make the bitlive service work, and for any losses of the User resulting therefrom.
8.3 The bitlive service only provides exchange services, buying and selling Electronic currencies. bitlive does not in any way accept payments to any third parties and prohibits exchange to wallets/accounts not owned by the User. bitlive does not enter into any partnerships, does not enter into any agreements with recipients of payments for their goods or services, and is strongly against such relationships. bitlive cannot be used as an intermediate service for mutual settlements between a buyer and a seller (a customer and a contractor, etc.).
8.4 The bitlive service is not responsible for losses of the User caused by illegal actions of third parties.
8.5 The User is solely responsible for the accuracy of the information provided when filling out their Order. If the User fails to provide any information or provides it incorrectly, the bitlive Service is not responsible for any loss incurred by the User as a result of such a mistake.
8.6 Information about the transaction is stored in the database of the Service and is the main source, which is used by the Parties of the Agreement in disputable situations.
8.7 The Parties shall be released from liability for full or partial failure to perform their obligations under the Agreement if it is a result of force majeure arising after the Agreement has entered into force, as a result of extraordinary events that could not be foreseen and prevented by reasonable measures.
8.8 In other cases of non-performance or improper performance of their obligations under the Agreement, the Parties shall be liable in accordance with the laws of the Russian Federation, subject to the terms and conditions of the Agreement.
9. Miscellaneous
9.1 The bitlive Service has the right to make changes to the Agreement unilaterally by publishing them on the System Website. Changes come into force from the moment of publication, unless another effective date is additionally specified when the changes are published.
9.2 The bitlive Service has the right to refuse a User's registration without giving any reasons.
9.3 In case of any suspicious transactions during the registration of an Application by the User, bitlive Service has the right to suspend such transactions until the reasons for them are clarified to prevent any damages caused by hacker attacks.
9.4 The bitlive Service has the right to refuse to exchange, buy and sell e-currencies if the source currency has been transferred to the Service's account without registering an Application using the user interfaces on the Service's website. The e-currencies credited to the Service's accounts without registering an Application via the user interfaces on the Service website can be returned to the User at their request minus the Payment system commission, if any.
9.5 The bitlive Service has the right to send the information on the status of the exchange process to the User's specified email address as it is an integral part of the successful completion of the exchange.
9.6 All disputes and disagreements, which have arisen or may arise from this Agreement, are resolved by negotiations on the basis of a written application of the User. Upon receipt of a complaint from the User, bitlive Service is obligated to satisfy the claim or send a reasoned refusal to the User within 15 (fifteen) days. The response must be accompanied by all necessary documents. If the dispute is not resolved by complaint within sixty (60) days, either party may apply to the court at the User's location for a ruling.
The User confirms that he is familiar with all the provisions of this Agreement and unconditionally accepts them.
The date of publication of the most recent amendments to the Agreement is June 05, 2021.
